Default installing XP to another computer

I bought this computer last year and i got upgrade kit from DELL. So I
upgraded to Vista Home Premium from XP media center 2005 editoin.
I want to install XP media center 2005 on my compaq, using product key from
pre-installed one.
Is it possible to using that product key? eventhough I upgraded from that
product?

No. Preinstalled OEM and Product Key is tied to that computer.

OEM versions of Windows are usually tied to the system they are distributed
with. You will most likely have to purchase an additional retail license for
the other computer you want to install XP on.

No. By your own admission, you have an OEM license for WinXP MCE that
came with the Dell. An OEM version must be sold with a piece of
hardware (normally a motherboard or hard rive, if not an entire PC) and
is _permanently_ bound to the first PC on which it's installed. An OEM
license, once installed, is not legally transferable to another computer
under _any_ circumstances.

Secondly, when one uses an Upgrade license, the older license that's
used as a qualifying product for the Upgrade license cannot legitimately
be used anywhere else, as it becomes subsumed by, and an inseparable
part of, the upgrade.

You'll have to purchase a WinXP license to go with the second
computer.
