There are separate license keys for 32 and 64 bit. You will need to get a
new license key.

I have retail Vista Home Premium 32 bit and 64 bit DVDs and they use the
same product key just like the Ultimate retail kit that contains both DVDs
does.
Only the OEM versions have separate key AFAIK.

Yes since the key has already been used you will need to activate it by
phone to explain that you are replacing your 32 bit version with the 64 bit
version.
