Can I resell an Office 2007 Pro Retail package that I've bought?

Hi,

I bought an Office 2007 Pro Retail (english) package and I decided that I
will not use this software. That package is still SEALED.

FIRST QUESTION
One of my friends wants to buy the package from me.
Can I sell him the package?

SECOND QUESTION
He have a small company.
Is he able to use this office package on one of his company PC's?

I cannot think of any reason for not being able to sell it to your friend.
Ebay have them for sale all the time.
The retail has less restrictions than OEM and Educational/student types.
But read the below for the licence conditions/eula.
