Default Good price/performance upgrade from this system?


I just had the mainboard on my fileserver die, so I'm going to take this
opportunity to move my current system into the fileserver role and buy some
new hardware for me. I was hoping that folks here could suggest some cost
effective (not necessarily cheapest) components for the upgrade.

Current fileserver specs:
- Asus P4C800E-Dlx mainboard
- Socket 478 2.6Ghz Northwood P4 CPU
- 2x256meg OCZ DDR533 memory
- 2x256meg Vitesta DDR500 memory
- AGP nVidia 6800 video card


My current system specs:
- DFI Lanparty UT NF4 Ultra-D mainboard
- Socket 939 Dual Core Opteron 165 CPU
- 3gig DDR memory
- nVidia 7600GT PCIe video card


So, what would be a decent mainboard/CPU/memory combo to replace my current
system?

I should also state that I'd probably get an ATI video card. Not sure about
Intel or AMD CPU's though.
