I don't know that much about the hardware side of things but it does

You're correct, it's a memory hardware issue. Time for an upgrade by the
look of it. The X1650 Pro AGP 256Mb with GDDR3 is a great upgrade for a
bargain price. Avoid the low speed DDR2 512Mb version.
1. Wiggle the monitor plug.
2. Try the other port on the card (use a DVI-VGA adapter if needed).
3. Try a different resolution and refresh rate.
If no improvement, replace the card with something else. No sense in getting
another 9800 Pro (in fact they may be hard to find, with a lot of 9800SEs
and no-name brands adding to the confusion). You can find a decent X800 Pro
or X800XT for ~$50 on eBay.

Are you over clocking the CPU, memory or any thing like that also what
CPU and speed and is it really running at that speed. We need to know
this first before anyone can make any intelligent statement as to what
is possible wrong.

It's likely a video ram problem, but exacerbated by heat.
Is the fan working and clean?

Graphic card has not been overclocked, i tried with changing bios but that
doesn't help.
When i try to run a game it says d3d device failed to initialize.
